sshd terminating

Every now and then my sshd daemon shuts down and I can't seem to find any reason for it. I have to log in to the Virtuozzo panel and restart it. The message in the secure log is simply:

Apr 20 05:20:12 domainname sshd[21860]: Received signal 15; terminating.
Apr 20 07:42:04 domainname sshd[11626]: Server listening on 0.0.0.0 port 22.

Looking through the other logs shows nothing happening at that time that could be related. And it's been happening occasionally for some months.

So I'm flummoxed, anyone have any ideas?

using Centos5 on x86_64, no panel.

That likely means your VPS is running OOM (out of memory). The task manager will first send signal 15's to have programs exit gracefully before it will send signal 9 (kill). If you contact support they can look through the host logs to verify and also send the log of which processes were killed.
